2007 Contracts


When appearing before the council on the 24th of Jan. with my concerns I was told that the city attorney would meet with me and have the answers.

Councilman Johnson who made the motion to ratify the 2006 contracts told me that they were modified in 2007, an ex-councilman told me the same thing.

The 2007 contracts that I was given by the city are new contracts. Excerpts below

 

1. Employment.A. Term. The City hereby employs City Manager, and City Manager

hereby accepts employment, upon the terms and conditions set forth below. Subject to

the provisions for termination set forth below, the term of this agreement shall be

effective July 1, 2007, and shall continue until such time as the City or City Manager

terminates the agreement.

 

D. Paid Holidays; Vacation. The City Manager shall be entitled to the

same paid holidays to which other employees of the City are entitled, as provided in the

Personnel Policies and Procedures. The City Manager shall receive thirty (30) days of

paid vacation upon the execution of this Agreement. In addition, the City Manager shall

accrue vacation leave at the rate of thirty (30) days per year, and upon termination of

employment receive pay for accrued but unused vacation leave, in the same manner and

amount as provided for all City employees in the Personnel Policies and Procedures.

There shall be no cap on the number of vacation days the City Manager may accrue.

5. Compensation and Benefits.

A. Salary and Deferred Compensation. For services rendered by the

City Manager under this Agreement, the City shall pay the City Manager an annual salary

in the amount of One Hundred Eighty Thousand Dollars and no cents, ($180,000) and

deferred compensation in the amount of Ten Thousand Dollars and no cents ($10,000).

On the anniversary date of this Agreement, the City Council may, in its discretion, grantCity Manager such increases in salary as the City Council deems appropriate, if any,

including possible Cost of Living Adjustments. This salary shall be payable in the same

manner as is customary for other City employees.

v) The City agrees that upon execution of this agreement, it

shall budget and cause to be deposited with an independent

third party trust officer a sum equal to the full amount of

the City Manager’s base salary for ninth (9) months. The

City and City Manager agree that they will execute an

agreement (the “Escrow Agreement”) substantially in the

form attached hereto as Exhibit A, providing that if and in

the event that the City Council or any future City Council

fails to affirm this agreement and/or provide severance,

then City Manager shall be able to withdraw all funds less

interested earned from said third party trust officer. This

cause shall remain through the term of the contract.

iii) The City agrees that upon execution of this agreement, it

shall budget and cause to be deposited with an independent

third party trust officer a sum equal to the full amount of

the Bailey’s base salary for six (6) months. The City and

Bailey agree that they will execute an agreement (the

“Escrow Agreement”) substantially in the form attached

hereto as Exhibit A, providing that if and in the event that

the City Council or any future City Council fails to affirm

this agreement and/or provide severance, then Bailey shall

be able to withdraw all funds less interested earned from

said third party trust officer. This cause shall remain
